These Terms and Conditions govern the relationship between Groweik Ltd ("groweik", "we") and clients who engage our services. By engaging our services, you agree to these terms.

1. Company Information

2. Services

We provide digital services including website development, e-commerce setup, advertising management, SEO, design, and AI automation. The specific scope of each engagement is defined in a written project agreement or quote confirmation email.

3. Pricing & Payment

• All prices are in USD unless otherwise stated
• Projects require a minimum 50% deposit before work begins
• Remaining balance is due before final delivery or handover
• Accepted payment methods: Stripe, PayPal, bank transfer, Payoneer, Wise, Western Union
• Quoted prices are fixed for the agreed scope — additional features are quoted separately

4. Project Delivery

• Target delivery timelines are stated in each service quote and are estimates, not guarantees
• Timelines begin from the date of deposit receipt and receipt of all required client materials
• Delays caused by client inaction (delayed feedback, missing assets) do not extend delivery obligations on our part
• We will communicate proactively if our side causes a delay

5. Client Responsibilities

• Provide accurate brief, brand assets, and content required for your project
• Respond to review requests within 5 working days
• Ensure all content provided does not infringe third-party intellectual property rights
• Provide access credentials to required platforms (Shopify, hosting, etc.) in a timely manner

6. Revisions

Standard service packages include revision rounds as specified in each service description. Additional revision rounds beyond those included are charged at an agreed hourly or per-revision rate.

7. Intellectual Property & Ownership

• Upon final payment, all deliverables (code, design, content) created specifically for your project transfer to you in full
• We retain the right to showcase your project in our portfolio unless you request otherwise in writing
• Third-party tools, plugins, and licensed assets remain subject to their respective licenses

See our Refund Policy for full details. Summary: if we are unable to deliver the agreed service, the value paid for undelivered work is refunded.

9. 45-Day First-Sale Guarantee

For qualifying full package clients: if your new online business makes no sales within 45 days of launch, we continue working at no additional charge until first sales are achieved. Conditions: (a) full package completed and launched, (b) minimum agreed ad spend deployed, (c) client has approved and published all required content, (d) niche and product approved during onboarding.

10. Limitation of Liability

Our total liability to you for any claim arising from services provided shall not exceed the total amount paid by you for the specific service that caused the claim. We are not liable for indirect, incidental, or consequential losses including lost profits or revenue.

11. Confidentiality

We treat all client information, business data, and project details as confidential and will not disclose them to third parties without your written consent, except as required by law.

12. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes shall first be attempted to resolve through good-faith negotiation.

13. Changes

We may update these terms. The current version is always available at groweik.com/terms-conditions. Continued engagement with our services constitutes acceptance of the current terms.
